1. Scope of agreement

This Agreement governs:

• Service access: Access and use of the Service (SaaS platform).
• Application use: Installation and use of the Application (desktop/mobile client).

By creating an account, installing the Application, or otherwise using the Service, the Customer agrees to be bound by this Agreement.

2. License grant

Provider grants the Customer a limited, non‑exclusive, non‑transferable, revocable license to install and use the Application solely in connection with the Service.

The Application is licensed, not sold.

3. Restrictions

Customer shall not:

• Copy, modify, or create derivative works of the Service or Application.
• Reverse engineer, decompile, or disassemble the Application.
• Rent, lease, sublicense, or provide third parties with access without Provider’s consent.

4. Free trial and subscription

• Trial: New Customers receive a 14‑day free trial.
• Subscription: After the trial, continued access requires a monthly subscription.
• Fees: Fees, billing cycles, and payment methods are specified on Provider’s website (see pricing).
• Renewal: Subscriptions automatically renew unless cancelled before the end of the billing cycle.

5. Data and privacy

• Ownership: Customer retains ownership of all data submitted.
• Processing: Provider processes data only to deliver and improve the Service.
• Policy: Data handling is governed by the Privacy Policy.

6. Availability and support

• Uptime: Provider will use commercially reasonable efforts to ensure availability.
• Maintenance: Scheduled maintenance may temporarily affect access.

7. Disclaimer of warranties

The Service and Application are provided “as is” and “as available”. Provider disclaims all warranties, express or implied.

8. Limitation of liability

To the maximum extent permitted by law, Provider shall not be liable for indirect, incidental, or consequential damages, including loss of profits or data.

9. Termination

• Material breach: Either party may terminate this Agreement for material breach.
• Immediate suspension: Provider may suspend or terminate access immediately if Customer violates Section 3.

10. Governing law

This Agreement shall be governed by the laws of the Russian Federation, with exclusive jurisdiction in the courts of Moscow, unless mandatory consumer protection laws of the Customer’s country provide otherwise.

11. Entire agreement

This Agreement constitutes the entire agreement between the parties regarding the Service and Application.
